These Terms and Conditions explain how IQ Digital provides website design, website build, hosting, software, support and related digital services.

Please read these terms carefully before choosing a website package, setting up a monthly payment, paying an invoice or asking IQ Digital to begin work.

By confirming a project, paying an invoice, setting up a monthly plan or instructing IQ Digital to begin work, you agree to these Terms and Conditions.

1. About IQ Digital

IQ Digital provides website design, WordPress development, hosting, technical support, software setup, booking systems, online forms, search engine optimisation foundations and related digital services.

2. Who These Terms Apply To

These terms apply to clients who purchase or use IQ Digital website packages, including one-off website builds and monthly website plans.

Most IQ Digital website packages are intended for business, professional, practice, self-employed or organisational use.

If you believe you are buying as a private consumer rather than for business or professional use, please tell IQ Digital before the project begins so that any applicable consumer cancellation rights can be explained separately.

3. Website Package Types

IQ Digital may offer different website packages, including but not limited to:

• Starter / Basic website package
• Premium website package
• Platinum website package
• One-off website builds
• Monthly website plans
• Hosting and maintenance services
• Optional care plans
• Additional website, SEO, marketing or technical services

The exact features included depend on the package chosen and the written description, invoice, proposal or email summary provided at the time of agreement.

4. One-Off Website Builds

A one-off website build is a traditional website project.

You pay a one-off fee for the agreed website package. Once the agreed fee has been paid in full, you own the final website build created for you, subject to the exclusions in these terms.

This means that, after full payment, you may move the website to another host, developer or provider if you choose.

However, a one-off website build does not mean that you own IQ Digital’s paid software licences, premium plugin licences, developer licences, hosting account, internal systems, reusable code libraries, third-party subscriptions or technical tools.

If you move a one-off website away from IQ Digital, you may need to arrange and pay for your own hosting, software licences, plugin licences, booking system licences, security tools, backup tools, optimisation tools and technical support.

A one-off website build does not include free lifetime hosting, free lifetime maintenance, free lifetime plugin licences, free redesigns or unlimited future work unless this has been agreed in writing.

5. Monthly Website Plans / Software as a Service

A monthly website plan is different from a one-off website build.

A monthly website plan is provided as a Software as a Service arrangement. This means IQ Digital designs, builds, hosts, manages and maintains the website as part of an ongoing monthly service.

Under a monthly website plan, the website build, structure, design framework, templates, technical setup, hosting environment, premium plugin licences and related software configuration remain owned and/or controlled by IQ Digital unless you later buy out the website.

You receive permission to use the website while your monthly plan is active and your payments are up to date.

The monthly fee pays for your use of the hosted website service. It does not mean that you have purchased or own the website build.

You may not copy, transfer, resell, clone, move, duplicate, recreate or reproduce a monthly-plan website unless IQ Digital gives written permission or you complete a website buyout.

6. Minimum Term for Monthly Plans

Monthly website plans normally have a minimum term of 12 months unless otherwise agreed in writing.

By choosing a monthly website plan, you agree to pay the monthly fee for the full minimum term.

After the minimum term, the plan continues on a rolling monthly basis unless cancelled in accordance with these terms.

After the minimum term, either party may usually cancel the monthly service by giving at least 30 days’ written notice.

7. Monthly Payments

Monthly payments are due in advance unless otherwise agreed.

If a monthly payment is missed, late or fails, IQ Digital may pause work, restrict support, suspend access or temporarily take the website offline until payment is received.

If payment remains overdue for more than 14 days, IQ Digital may suspend the website service.

If payment remains overdue for more than 30 days, IQ Digital may terminate the service and recover any unpaid amount, including the remaining balance of the minimum term where applicable.

8. Early Cancellation of Monthly Plans

If you cancel a monthly website plan before the end of the minimum term, the remaining monthly payments for the minimum term may become payable.

IQ Digital may, at its discretion, allow an early cancellation or website buyout arrangement, but this must be agreed in writing.

IQ Digital is not required to release, transfer or keep a website live if there are unpaid invoices or unpaid monthly fees.

9. Website Buyout for Monthly Plans

If you are on a monthly website plan and later want to own and move the website, you may request a website buyout.

Unless a different amount has been agreed in writing, the buyout fee will be the then-current one-off price for the equivalent website package at the time of the buyout request.

For example:

• A Starter / Basic monthly website may be bought out at the then-current one-off Starter / Basic package price
• A Premium monthly website may be bought out at the then-current one-off Premium package price
• A Platinum monthly website may be bought out at the then-current one-off Platinum package price

The buyout fee is separate from the monthly payments already made.

Monthly payments are payments for use of the hosted service. They do not automatically count towards ownership unless IQ Digital has agreed this in writing.

Before a website buyout or transfer is completed, all outstanding invoices, unpaid monthly fees, remaining minimum-term amounts and agreed transfer fees must be paid in full.

10. What Is Included in a Buyout

After a successful website buyout, IQ Digital may provide:

• a copy of the WordPress website files, where applicable
• a copy of the website database, where applicable
• the agreed website pages and layouts
• the website content and media library
• reasonable cooperation during the transfer process

After the buyout, you become responsible for arranging your own hosting, licences, security, backups, maintenance and technical support unless you continue using IQ Digital for those services under a separate agreement.

11. What Is Not Included in a Buyout or Website Transfer

A website buyout or transfer does not include automatic transfer of IQ Digital’s paid software licences, premium plugin licences, developer licences, hosting account, server setup, third-party service accounts, internal tools, paid subscriptions or managed service arrangements.

This applies to both one-off websites and monthly Software as a Service websites.

If you move your website away from IQ Digital, you may need to purchase your own licences for software used on the website, including but not limited to:

• booking systems
• calendar tools
• online forms
• payment tools
• security tools
• backup tools
• SEO tools
• performance tools
• image optimisation tools
• e-commerce tools
• premium WordPress plugins
• premium themes
• accessibility tools
• email delivery or notification tools

Some features may stop working, become limited, require reconfiguration or require new paid licences after the website is moved away from IQ Digital.

IQ Digital is not responsible for loss of functionality caused by missing licences, expired licences, incompatible hosting, third-party plugin conflicts, changes made by another developer or changes made after the website leaves IQ Digital’s hosting environment.

12. Paid Software, Booking Systems and Premium Licences

Some website features rely on paid software, premium plugins, third-party services or developer licences supplied through IQ Digital.

These may include calendar and booking systems, online forms, payment integrations, security tools, backup systems, optimisation tools, SEO tools, premium themes, premium plugins, staging tools and other technical services.

These paid tools and licences are provided only while the website is hosted, managed and maintained by IQ Digital, and only while the client account is active and fully paid.

This applies to both:

• one-off website builds hosted with IQ Digital; and
• monthly Software as a Service website plans.

If you move the website away from IQ Digital, transfer it to another host, manage it yourself or appoint another developer, you will be responsible for purchasing, licensing, configuring and maintaining your own versions of any paid tools or software needed to keep the website functioning.

IQ Digital’s licences, subscriptions, developer accounts, plugin licences, booking system licences, calendar software licences, premium tools and hosting-related services are not transferable unless IQ Digital expressly agrees in writing.

13. Domain Names

You should own your own domain name.

IQ Digital strongly recommends that clients register domain names in their own name and keep control of their own domain account.

If IQ Digital helps you choose, register or connect a domain name, this does not transfer ownership of the domain name to IQ Digital unless this has been expressly agreed in writing.

You are responsible for renewing your domain name on time, keeping your login details secure and ensuring your domain remains registered.

IQ Digital is not responsible for loss of a domain name caused by missed renewals, failed payments, lost account access or changes made by another person or provider.

14. Hosting

For one-off website builds, hosting is not included unless the package, invoice or proposal says it is included.

For monthly website plans, hosting is included as part of the managed monthly service while your subscription is active and payments are up to date.

Hosting may include SSL, backups, security monitoring, staging, performance optimisation or CDN services depending on the package selected.

Hosting is provided on a fair use basis. Excessive traffic, unusually heavy storage, large media files, video hosting, high server load, complex e-commerce or unusual technical demands may require upgraded hosting or additional charges.

If you move the website away from IQ Digital hosting, IQ Digital is no longer responsible for website speed, hosting performance, server compatibility, uptime, security, backups or errors caused by the new hosting environment.

15. Email Services

Website packages do not include full professional email inboxes unless expressly agreed in writing.

IQ Digital may help set up basic email forwarding or email aliases where technically possible.

If you require a full branded email inbox, such as name@yourdomain.co.uk with its own mailbox, login and storage, this will usually require a separate paid service such as Google Workspace, Microsoft 365 or another email provider.

You are responsible for the cost and management of any third-party email subscription unless agreed otherwise.

16. Project Scope

The scope of the project is based on the package chosen and any written proposal, invoice or email summary.

A package may include a set number of pages, sections, forms, integrations or features.

Work outside the agreed scope may be quoted separately.

Additional work may include:

• extra pages
• additional forms
• advanced booking rules
• advanced automation
• complex e-commerce
• membership functionality
• learning platforms
• custom coding
• branding or logo design
• copywriting beyond the agreed scope
• legal policy writing
• professional regulatory compliance work
• paid advertising
• email marketing
• advanced SEO campaigns
• migration from another provider
• repairing issues caused by third parties

IQ Digital will let you know where a request falls outside the agreed scope and may provide a separate quote.

17. Client Responsibilities

You agree to provide the information, content, images, documents, access and approvals needed to complete the project.

This may include:

• logo files
• images and photographs
• business information
• service descriptions
• pricing information
• professional qualifications
• accreditations and memberships
• contact details
• legal/business details
• policy information
• domain access
• Google, Stripe, PayPal, Zoom, booking, email or other account access where needed

You are responsible for ensuring that all information supplied to IQ Digital is accurate, lawful and up to date.

Delays in providing content, access or feedback may delay the project.

18. Content Responsibility

You are responsible for the accuracy, legality and professional suitability of your website content.

IQ Digital may help draft, edit or structure website content, but you remain responsible for reviewing and approving it before publication.

If you work in a regulated, professional or sensitive field, including healthcare, therapy, counselling, psychotherapy, homeopathy, finance, legal services or similar areas, you are responsible for making sure your website complies with your professional, ethical, advertising, safeguarding and regulatory obligations.

IQ Digital does not provide legal, medical, clinical, financial, tax or regulatory advice.

19. Policies, Privacy and Safeguarding Content

IQ Digital may help prepare draft website wording for privacy pages, cookie notices, safeguarding pages, terms pages or other policies.

These drafts are not a substitute for legal advice.

You are responsible for checking that all legal, privacy, safeguarding, professional and policy wording is suitable for your business, profession, jurisdiction and regulatory body.

If your website collects sensitive information, health information, therapy information, information about children or information about vulnerable people, you may need specialist legal or professional guidance.

20. Data Protection

You are responsible for deciding what personal data is collected through your website and why.

In most cases, the website owner is the data controller for personal data submitted through the website.

IQ Digital may act as a data processor where it hosts, stores, backs up, accesses, maintains or supports the website on your behalf.

You are responsible for ensuring that your privacy notice, consent wording, data collection, data retention and data handling procedures are appropriate for your business and legal obligations.

Where special category data is collected, such as health information, therapy information, counselling information, safeguarding information or children’s data, you must take extra care and may need a separate Data Processing Agreement or legal advice.

IQ Digital will take reasonable technical measures to protect hosted websites, but no website, hosting service, form system or online platform can be guaranteed to be completely secure.

21. Website Forms

Website forms may be used for enquiries, bookings, intake forms, contracts, consent forms, feedback forms or other purposes.

You are responsible for deciding what information your forms collect.

You should not collect more information than you need.

You are responsible for checking that form wording, consent wording and data handling arrangements are appropriate for your business, profession and legal obligations.

IQ Digital is not responsible for your professional use of form submissions after they have been received.

22. Booking and Calendar Systems

Where a booking system or calendar integration is included, IQ Digital will configure it according to the agreed requirements.

You are responsible for keeping your calendar up to date and ensuring that unavailable times are correctly marked as busy.

IQ Digital is not responsible for double bookings caused by incorrect calendar settings, third-party calendar errors, user error, third-party integrations or failure to block out unavailable times.

You are responsible for checking all booking settings before the website is launched and for notifying IQ Digital promptly if there is a problem.

Booking and calendar software may be supplied through IQ Digital’s own licence as part of the hosted service. If the website is moved away from IQ Digital, you may need to purchase your own booking or calendar software licence to keep the same functionality.

23. Payment Integrations

Where Stripe, PayPal or another payment provider is used, payments are processed by the third-party payment provider.

IQ Digital does not normally store full payment card details and does not normally have access to full card information.

You are responsible for your own payment provider account, including fees, verification, tax treatment, refunds, chargebacks, disputes and compliance with the provider’s terms.

IQ Digital may assist with setup but is not responsible for the payment provider’s decisions, fees, outages, account holds, rejected transactions or verification requirements.

24. Third-Party Services

Your website may rely on third-party services such as hosting providers, plugins, themes, payment processors, booking systems, calendar systems, Google services, analytics tools, email services, map services, security tools, CDN services or social media platforms.

IQ Digital is not responsible for faults, price changes, outages, discontinued services, policy changes or account issues caused by third parties.

If a third-party service changes, stops working, increases its prices or becomes unsuitable, IQ Digital may recommend an alternative. Additional work may be chargeable.

25. Revisions and Approval

You will be given reasonable opportunities to review the website during the build.

The number of revision rounds may be limited by the selected package or proposal.

Minor corrections are included during the build process.

Major changes, redesigns, new layouts, extra pages, new functionality or changes to the agreed structure may be quoted separately.

Once you approve the website or ask IQ Digital to make it live, the website will be treated as accepted.

26. Website Launch

Before launch, IQ Digital will carry out reasonable checks.

You are responsible for reviewing the website, testing key forms, checking contact details, checking booking details, checking pricing, checking service descriptions and confirming that the website is ready to go live.

IQ Digital is not responsible for errors that were visible before launch but were not raised during review.

27. SEO and Marketing

Some packages include basic SEO setup, Google indexing basics, on-page SEO foundations or local SEO foundations.

These services are intended to give the website a sensible technical and content foundation.

IQ Digital does not guarantee rankings, traffic, enquiries, bookings, sales, conversions, Google approval, advertising results or business growth unless a specific guarantee is expressly given in writing.

Search engines, advertising platforms and social media platforms are controlled by third parties and may change their rules, algorithms and results at any time.

28. Security, Backups and Updates

Websites require ongoing maintenance to remain secure, stable and functional. This may include WordPress core updates, plugin updates, theme updates, security updates, compatibility checks, backups, malware monitoring, uptime monitoring and other technical maintenance.

Unless the client has an active Care Lite plan, Care Pro plan, hosting-and-maintenance agreement, or another written ongoing maintenance agreement with IQ Digital, responsibility for carrying out website updates and ongoing maintenance rests with the client.

These updates are important. They may include security updates that are vital to the safe functioning of the website and may help reduce the risk of unauthorised access, hacking, malware, broken functionality, plugin conflicts, data loss or other technical problems.

Where IQ Digital is contracted to provide ongoing maintenance, IQ Digital will take reasonable steps to carry out updates, backups and security checks in accordance with the selected care plan, hosting arrangement or maintenance agreement. However, no website can be guaranteed to be completely immune from hacking, malware, downtime, software bugs, third-party failure, plugin conflicts, human error or other security issues.

If the client chooses to carry out updates themselves, or allows another person, employee, developer, agency or third party to make changes or updates to the website, the client does so at their own risk.

If the client, their staff, another provider or a third party carries out updates or makes changes that cause the website to break, lose functionality, display incorrectly, become inaccessible, suffer plugin conflicts, experience security issues or require repair work, IQ Digital will not be liable for the issue and will not be required to fix it free of charge.

Any investigation, repair, restoration, troubleshooting, malware removal, rollback, reconfiguration or additional technical work required because of client-managed updates, third-party changes, missed updates, outdated software, incompatible plugins, expired licences or changes made outside IQ Digital’s control may be charged separately.

The client is responsible for using secure passwords, keeping login details confidential, limiting access to trusted users only and informing IQ Digital immediately if they suspect unauthorised access, malware, hacking or any security issue.

IQ Digital is not responsible for security issues caused by weak passwords, compromised email accounts, third-party platforms, unauthorised access, another developer, another agency or changes made outside IQ Digital’s control.

29. Client Access

IQ Digital may provide website login access where appropriate.

The level of access may depend on the package, technical setup and support arrangement.

For monthly Software as a Service websites, IQ Digital may restrict administrative access to protect the stability, security and integrity of the managed service.

If you, your staff or another provider make changes that break the website, additional repair work may be chargeable.

30. Support

Support included in a package is limited to reasonable technical support for the agreed website service.

Support does not include unlimited design changes, unlimited content edits, new features, marketing strategy, copywriting, SEO campaigns, advertising management, training, legal advice or third-party troubleshooting unless agreed in writing.

Additional support may be quoted separately or provided through a monthly care plan.

31. Care Plans

Optional care plans may be offered separately.

A care plan may include updates, backups, security checks, uptime checks, basic fixes, edits, improvements, performance checks, SEO checks or consultation time depending on the plan selected.

Care Lite, Care Pro or any other ongoing maintenance agreement does not transfer ownership of the website, software licences, hosting account or third-party tools unless expressly agreed in writing.

Where no active care plan or written maintenance agreement is in place, ongoing updates, security maintenance, backups and general website maintenance remain the client’s responsibility.

32. Portfolio Use

Unless you request otherwise in writing, IQ Digital may display the completed website in its portfolio, case studies, social media, proposals or marketing materials.

IQ Digital may include a discreet website credit or portfolio reference unless agreed otherwise.

33. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party.

This does not prevent IQ Digital from using general skills, knowledge, ideas, methods, experience or reusable technical processes gained during the project.

34. Intellectual Property

All intellectual property owned by either party before the project remains the property of that party.

For one-off website builds, ownership of the final custom website deliverables transfers to you after full payment, subject to these terms and excluding third-party software, non-transferable licences, stock assets, reusable code and IQ Digital’s underlying tools or methods.

For monthly Software as a Service website plans, ownership of the website build remains with IQ Digital unless you complete a buyout.

You must not copy, clone, resell, duplicate or redistribute IQ Digital’s website systems, templates, configurations or software setup without written permission.

35. Stock Images, Fonts and Media

Where stock images, fonts, icons, videos or other assets are used, they may be subject to third-party licence terms.

You are responsible for ensuring that any images, videos, files, logos or media you provide are lawfully owned or licensed.

IQ Digital is not responsible for copyright claims arising from materials supplied by you.

If paid stock assets are required, the cost will be agreed separately unless included in the package.

36. Accessibility

IQ Digital aims to follow reasonable good practice for accessible and user-friendly website design.

However, unless a specific accessibility audit or compliance standard is agreed in writing, IQ Digital does not guarantee full compliance with any particular accessibility standard.

Specialist accessibility audits, remediation work and compliance reports may be quoted separately.

37. Limitation of Liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot legally be limited.

Subject to the above, IQ Digital will not be liable for:

• loss of profit
• loss of revenue
• loss of business
• loss of goodwill
• loss of opportunity
• loss of data caused by the client or third parties
• indirect or consequential loss
• third-party platform failure
• search engine ranking changes
• advertising account issues
• payment provider issues
• email deliverability issues
• domain expiry caused by the client
• regulatory or professional compliance issues outside IQ Digital’s control
• loss of functionality after the website is moved away from IQ Digital
• missing or expired third-party licences after transfer
• issues caused by another developer, agency, host or service provider

IQ Digital’s total liability under or in connection with the relevant service will be limited to the amount paid by you to IQ Digital for that service in the three months before the event giving rise to the claim, unless a different limit is required by law.

38. Suspension or Termination by IQ Digital

IQ Digital may suspend or terminate a service if:

• payment is overdue
• you breach these terms
• the website or service is misused
• unlawful, harmful, misleading or unethical content is requested
• the website creates a security, legal or reputational risk
• abusive or unreasonable behaviour occurs
• a required third-party service becomes unavailable
• continuing the service becomes technically, legally or commercially impractical

IQ Digital will normally try to give reasonable notice where possible but may act immediately where there is a serious risk.

39. Website Removal After Cancellation

If a monthly service is cancelled and the website has not been bought out, IQ Digital may remove the website from its servers.

IQ Digital may keep a backup for a short period for administrative, legal or technical purposes but is not required to keep the website indefinitely.

Unless otherwise agreed in writing, IQ Digital may permanently delete the website, files and database 30 days after cancellation or termination.

You should request any export of your own content or data before cancellation takes effect.

40. Force Majeure

IQ Digital will not be liable for delays or failures caused by events outside its reasonable control, including internet outages, hosting provider failures, cyberattacks, illness, fire, flood, war, strikes, platform outages, third-party service failures, legal changes or other events beyond reasonable control.

41. Changes to These Terms

IQ Digital may update these terms from time to time.

For existing clients, material changes will not usually affect an active project unless required by law, required for technical reasons or agreed in writing.

For monthly services, updated terms may apply from the next renewal period or after reasonable notice.

42. Governing Law

These terms are governed by the laws of England and Wales unless otherwise agreed in writing.

The courts of England and Wales will have jurisdiction unless another jurisdiction is required by law.

43. Plain-English Summary of Ownership and Licences

The one-off website option means you own the website build once it has been paid for in full. You may move the website to another provider, but you do not automatically receive IQ Digital’s paid plugin licences, software licences, booking licences, hosting services or premium tools.

The monthly website option is different. It is a Software as a Service arrangement. You pay monthly to use a website hosted, managed and maintained by IQ Digital. You do not own the website build unless you buy it out.

In both cases, paid software, premium plugins, booking systems, calendar tools and other licences supplied by IQ Digital are included only while the website is hosted and managed by IQ Digital. If you move the website elsewhere, you may need to buy your own licences.

44. Acceptance

You accept these terms by confirming a project in writing, paying an invoice, setting up a monthly payment or instructing IQ Digital to begin work.

For monthly website plans, you specifically understand and accept that the service is provided as a monthly Software as a Service arrangement and that the website is not owned by you unless and until you purchase it under the buyout terms.
